 Das Unternehmen wurde am 3. August 1846 gegründet. Die Bahnstrecke sollte die London and North Western Railway in Birmingham mit der Bahnstrecke der Oxford and Rugby Railway bei Knightcote verbinden. Bereits 1848 wurde die Gesellschaft in die Great Western Railway integriert.

 The railway company was incorporated on 3 August 1846. The railway line should connect the London and North Western Railway in Birmingham with the Oxford and Rugby Railway at Knightcote. The company was integrated into the Great Western Railway in 1848.
