Die Gesellschaft entstand 1869 durch Fusion der New York Central Railroad mit der Hudson River Railroad. Beide gehörten Commodore Cornelius Vanderbilt. Durch die Fusion vergrößerte sich die Reichweite seines Systems südlich von Albany entlang des östlichen Ufers des Hudson Rivers bis nach New York City. Nördlich von Albany verlief die gemietete Troy and Greenbush Railroad bis nach Troy. 1968 ging die Gesellschaft mit der Pennsylvania Railroad in der Penn Central auf.
The company was created by merger of the New York Central Railroad and the Hudson River Railroad in 1869. Both railways belonged to Commodore Cornelius Vanderbilt. By this merger the system was enlarged southern of Albany along the east side of the Hudson River to New York City. Northern of Albany ran the leased Troy and Greenbush Railroad to Troy. In 1968, the company became together with the Pennsylvania Railroad, part of the Penn Central.
